These Terms of Service ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and Dawn Leap Digital Solutions ("Dawn Leap," "we," "us," or "our") governing your use of our website development and hosting services.
By engaging our services, submitting a deposit, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Services Provided
1.1 Website Development Services
Dawn Leap provides custom website design and development services using modern web technologies including Astro, Vue.js, and related frameworks. Services are provided in discrete packages (Essentials, Growth, Premium) as described on our website and in individual service agreements.
1.2 Hosting and Maintenance Services
Dawn Leap provides website hosting and ongoing maintenance services in tiered plans (Essential, Plus, Premium) as described on our website and in individual service agreements.
1.3 Service Limitations
Dawn Leap specializes in static site generation and does not provide WordPress development, complex e-commerce platforms with backend databases, user authentication systems, or real-time web applications requiring databases.
2. Payment Terms
2.1 Payment Schedules
Build Package Projects:
- • Essentials ($500): 50% deposit before work begins, 50% upon final approval before launch
- • Growth ($1,200): 40% deposit before work begins, 40% upon design approval, 20% upon final approval before launch
- • Premium ($2,500): 33% deposit before work begins, 33% upon design approval, 34% upon final approval before launch
2.2 Hosting Plan Payments
Monthly Plans: Charged on the 1st of each month via automatic payment. Payment must be received by the 5th to avoid service interruption.
Annual Plans: Full annual payment due upon service commencement. Renewal payment due 30 days before annual anniversary. Annual plans renew automatically unless cancelled 30 days before renewal date.
2.3 Late Payments
Grace Period: Payments are considered late after 5 calendar days from the due date. After grace period, a 10% late fee is applied, support services are suspended after 10 days overdue, and websites may be taken offline after 30 days overdue with 7-day warning.
3. Intellectual Property Ownership
3.1 Client Owns
Upon full payment: All content Client provides, final website code and design, hosting account and domain registration (if Dawn Leap assisted with setup).
3.2 Dawn Leap Retains
Right to use project in portfolio and case studies, reusable code libraries and frameworks developed prior to or independent of Client project, and general methodologies and approaches.
3.3 Content Liability and Indemnification
Client warrants that Client owns or has license to all provided content, content does not infringe third-party intellectual property rights, content complies with applicable laws and regulations, and content does not contain defamatory, obscene, or illegal material.
Client agrees to indemnify and hold harmless Dawn Leap against claims, damages, and expenses arising from copyright, trademark, or intellectual property infringement related to Client-provided content.
4. Timeline and Delivery
4.1 Estimated Timelines
Standard estimated timelines from content receipt to launch:
- • Essentials: 2-3 weeks
- • Growth: 4-6 weeks
- • Premium: 6-10 weeks
These are estimates, not guarantees. Actual timelines depend on project complexity, number of revisions, Client feedback turnaround time, and technical complexity discovered during development.
4.2 Timeline Dependencies
Project clock starts when deposit is received AND all initial content is provided AND discovery call is completed. Project clock pauses when awaiting Client feedback, content, payment, or when Client requests delay.
4.3 Delays Caused by Dawn Leap
If Dawn Leap causes delays beyond estimated timeline without Client-caused pause: For delays exceeding 2 weeks beyond estimate, Client receives 10% discount on final payment. For delays exceeding 4 weeks beyond estimate, Client may cancel with full refund of payments made.
5. Limitation of Liability
5.1 Liability Cap
Dawn Leap's total liability for any claims related to services provided shall not exceed the total amount paid by Client for the specific service or package in question.
5.2 Excluded Damages
Dawn Leap is not liable for lost profits or revenue, lost business opportunities, indirect or consequential damages, third-party claims, issues arising from Client modifications to code, or search engine ranking changes.
5.3 Warranty Disclaimer
While Dawn Leap strives for excellence, services are provided "as-is" without warranties of specific business outcomes, search engine rankings, conversion rates, or uninterrupted operation. Dawn Leap warrants that services are performed in a professional, workmanlike manner and sites function as specified at time of delivery.
6. Cancellation and Refund Policy
6.1 Build Package Cancellations
- • Before Work Begins: Full refund minus $100 administrative fee
- • After Work Begins, Before Design Approval: 50% refund of total package price
- • After Design Approval, During Development: 25% refund of total package price
- • After Final Delivery: No refunds
6.2 Hosting Plan Cancellations
Monthly Plans: Client may cancel anytime with 30 days notice. No refund of current month. Service continues through end of paid month.
Annual Plans: Client may cancel anytime with 30 days notice. No refund of unused months (annual pricing is discounted for commitment). Exception: Prorated refund for unused months if Dawn Leap consistently fails service standards or if Client business closes (minus 25% administrative fee).
7. General Provisions
7.1 Entire Agreement
These Terms, together with any signed service agreement and the Privacy Policy, constitute the entire agreement between Client and Dawn Leap regarding services provided.
7.2 Amendments
Dawn Leap may update these Terms with 60 days notice to existing clients. Updated Terms apply to new clients immediately upon publication. Existing clients are bound by Terms in effect when their contract was signed.
7.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Utah, without regard to conflict of law principles.
7.4 Dispute Resolution
In the event of disputes, parties agree to first attempt good-faith negotiation. If negotiation fails, parties agree to mediation before pursuing legal action.
